Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Tenderpreneurs (Pty) Ltd ("Tenderpreneurs", "we", "us") and govern your access to and use of the Tenderpreneurs website, mobile application, and related services (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Information required by section 43 of the ECT Act

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract. If you accept on behalf of a juristic person (company, close corporation, trust, NPC) you warrant that you are authorised to bind that entity.

3. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at security@tenderpreneurs.co.za if you suspect unauthorised use.

4. Subscriptions, fees, and cancellation

  • Subscription fees and billing cycles are shown on the pricing page. Fees are inclusive of VAT where applicable.
  • Subscriptions renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing cycle.
  • Except where required by the Consumer Protection Act, 2008 ("CPA") or the ECT Act, fees are non-refundable for partial periods.
  • We may change pricing on 30 days' written notice. Continued use after the change takes effect constitutes acceptance of the new pricing.

5. Cooling-off (where applicable)

If you are a natural person and you purchased a subscription as an electronic transaction within the meaning of the ECT Act, you may cancel within 7 days after the date you first received access to the Service, in which case we will refund the fees paid within 30 days, less any direct costs of supplying the Service that you used during the cooling-off period.

6. Acceptable use

You agree not to:

  • Scrape, mirror, resell, or redistribute Service content except as permitted by your subscription tier;
  • Reverse-engineer or attempt to derive source code from the Service;
  • Use the Service to send unsolicited commercial communications in breach of POPIA or the CPA;
  • Upload malicious code, attempt to gain unauthorised access, or interfere with the Service or its users;
  • Use the Service for any unlawful purpose.

We may suspend or terminate accounts that breach this clause without refund.

7. Intellectual property

The Service, including all software, content, design, trade marks, and aggregated datasets, is owned by Tenderpreneurs or its licensors and is protected by South African and international intellectual property law. We grant you a non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during your subscription.

Tender notice text published by South African organs of state is government information and we do not claim ownership of it. Our aggregation, classification, summaries, and analyses are our own intellectual property.

8. No warranty of outcomes

Important: Tenderpreneurs is an information and analytics service. We do not guarantee that you will be awarded any tender, that any tender we list will remain open or correctly described, or that any information sourced from third parties (such as the eTender Publication Portal or departmental websites) is complete or error-free. You must verify any tender directly with the issuing organ of state before bidding.

The Service is provided "as is" and "as available". To the maximum extent permitted by law we exclude all implied warranties, save for the implied warranties of quality and fitness for purpose in section 55 of the CPA where the CPA applies.

9. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as liability for fraud or for damage caused by gross negligence under section 51 of the CPA). Subject to that, our total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential loss, including loss of profit, loss of business, or loss of data.

10. Indemnity

You indemnify Tenderpreneurs against any third-party claim arising from your breach of these Terms or your use of the Service in violation of the law.

11. Suspension and termination

We may suspend or terminate your access on reasonable notice for material breach, non-payment, or if required by law. On termination your right to use the Service ends; clauses that by their nature should survive (IP, liability, dispute resolution) survive termination.

12. Changes to the Service or these Terms

We may change the Service or these Terms. Material changes will be communicated by email or an in-product notice at least 14 days before they take effect. Continued use after that date constitutes acceptance.

13. Privacy

Our processing of your personal information is described in the Privacy Policy, which forms part of these Terms.

14. Disputes, governing law, and jurisdiction

These Terms are governed by the law of the Republic of South Africa. Before formal proceedings, the parties will attempt to resolve any dispute by good-faith negotiation. Where the CPA applies and a dispute is not resolved, you may approach an accredited consumer ombud, the National Consumer Commission, or a consumer court. Otherwise, the parties consent to the non-exclusive jurisdiction of the Magistrates' Court having jurisdiction over Tenderpreneurs, even if the claim would ordinarily exceed that court's jurisdiction.

15. General

  • Entire agreement: these Terms, the Privacy Policy, and the Cookies Policy form the entire agreement between us.
  • Severability: if any clause is found unenforceable, the rest remain in force.
  • Assignment: you may not assign these Terms without our written consent; we may assign on notice to you.
